Employment Training - Director’s Duties

OVERVIEW

This session is aimed at directors, providing an essential understanding of the key legal obligations of a director, the general duties a director has to comply with and the consequence of failing to do so.

The session will cover key topics including:

A Director’s role in the company

General duties under the Companies Act 2006 and the practical implications of the legislation

Additional duties if you are also a Charity Trustee

Managing conflicts of interest

Duties under the Company’s articles

The consequences of non-compliance

Potential relief from liability

Director’s personal liabilities

Good boardroom practice.

You will gain a good grounding in the important role a Director plays in a business, the difference between executive and non-executive directors, the tasks they must undertake, how to comply with those obligations in practice to protect both the individual and the business and the consequences of getting it wrong.
